Amal Rafiq is a member of the Executive Compensation and Employee Benefits group and advises companies, investors, and executives on the compensation and benefits issues that shape complex transactions and long-term talent strategy. She works closely with deal teams to align executive and equity incentives with business objectives in mergers and acquisitions and other strategic transactions.

Amal structures and implements executive compensation programs, equity and incentive arrangements, and retirement and deferred compensation plans for public and private companies, investment funds, and senior leadership. She counsels buyers, sellers, management teams, and lenders on tax, compliance, and reporting considerations that affect transaction value and post-closing execution. Her practice also includes guiding clients through ERISA and Internal Revenue Code requirements and government correction programs.

She brings additional perspective from prior experience advising employers and multiemployer benefit funds on fiduciary duties, plan governance, and ERISA litigation. Amal is an active member of the South Asian Bar Association and the Leadership Council on Legal Diversity, and is fluent in Urdu and Hindi. Amal is dedicated to pro bono work primarily serving immigrants and asylees.
