Ayn L. Moldave focuses her practice on Global Transportation Finance, advising major international lessors, owners, and operators on commercial, cargo, and corporate aircraft transactions.
Ayn structures and executes complex leasing and financing arrangements, including operating, finance, synthetic, and leveraged leases, fleet acquisitions, secured and unsecured financings, sales and purchases, assignments, novations, beneficial interest transfers, restructurings, repossessions, and asset securitizations. She also navigates ancillary arrangements throughout an aircraft’s lifecycle, including servicing, maintenance, and general terms agreements, across U.S., English, and other foreign jurisdictions. Ayn helps clients manage legal, operational, and commercial risk by aligning transaction structures with business objectives. Her practice spans cross-border deals and restructurings, enabling clients to efficiently acquire, finance, lease, or restructure aircraft portfolios while protecting investment value.
Before joining Vedder, Ayn held senior in-house counsel roles at MC Aviation Partners, CDB Aviation, and ALAFCO Aviation and Lease Finance, where she built and developed legal departments integrated with essential leasing operations. Earlier, she practiced at top U.S. law firms and worked as a corporate and investment banker specializing in aircraft and equipment leasing. Ayn has also taught Contract Management for the MSc in Aviation Finance at University College Dublin.
