Ellen Goff is a member of the Finance & Transactions group, advising financial institutions, corporate borrowers, and private equity clients on complex domestic and cross-border transactions.

She guides clients through a wide variety of transactions, including acquisition, leveraged, asset-based, cash flow and other financings, drafting and negotiating credit agreements, security agreements, inter-creditor agreements, and other transactional documents.

Ellen also counsels clients on corporate governance, fund formation, business structuring, and restructuring, delivering practical, business-focused solutions that align legal strategy with clients’ financial and operational objectives.

Experience

  • Represented administrative agent in negotiating and drafting a $90,000,000 syndicated secured credit facility with foreign lenders to finance an acquisition
  • Represented a private equity sponsor in negotiating and drafting a $75,000,000 credit facility in connection with its acquisition of a target corporation
  • Represented private placement note purchasers in connection with the purchase of $25,000,000 aggregate principal amount of senior secured notes issued by a corporate borrower in the healthcare industry
  • Represented a bank lender in negotiating and drafting a $700,000,000 unsecured syndicated credit facility to public corporate borrower
  • Represented a private equity sponsor in negotiating and drafting a healthcare financing credit facility, consisting of a senior facility and a senior subordinated note purchase agreement with lender and existing investors
  • Represented a bank lender in negotiating and drafting a $35,000,000 ABL facility
