Gina Catezone joined Vedder in May 1990 as a member of the corporate practice group.
She has over 40 years of experience as a paralegal. She is responsible for an extensive range of projects including entity formation, foreign registration, amendment, dissolution, merger and reorganization. She prepares organizational documents such as bylaws, LLC agreements, written consents and certain IRS documents. She handles stock issuances and transfers and the maintenance of stock ledgers for many clients.
Gina also handles numerous annual report filings with many Secretary of State Offices and facilitates compliance with regulatory and legal requirements by tracking filing deadlines and ensuring documents are filed properly. She has been an integral part of digitizing corporate minute books for easy access and centralizing client information in a corporate database. She provides research and analysis for M&A due diligence transactions as needed and is proficient at post-closing document management and corporate maintenance.
