James Warczak

Mr. Warczak has advised private equity funds and other sophisticated buyers on a wide range of transactions, including acquisitions of public and private targets, divestitures, joint ventures, co-investments and recapitalization transactions. In addition, he has advised venture-backed and founder-owned businesses in minority investments and sale of the company transactions.

Prior to joining Vedder Price, Mr. Warczak was an associate at an Am Law 100 firm in Los Angeles. He has deep experience with transactions involving auction processes, solicitation of consent from numerous shareholders, seller rollovers, restrictive covenants, the use of representations and warranties insurance and earn-outs, and handling post-closing day-to-day legal and corporate governance matters for clients, including those related to commercial contracts, real estate leases and executive employment and management incentive arrangements.

Mr. Warczak received his law degree from the University of Virginia Law School and his undergraduate degree from the University of Michigan.
