Experience
- Facilitated the acquisition of a Mexican-based business that involved complex cross-border issues for a consortium of private equity and strategic buyers. The deal spanned almost 18 months and involved delicate negotiations and managing cultural differences between the parties, along with a host of issues relating to the target's highly regulated business. The matter required perseverance and patience in working through the challenges associated with the numerous buy-side and sell-side constituencies, managing local counsel, and completing a Mexican-sourced debt financing that was unfamiliar to many of the buy-side constituents.
- Negotiated an exit on behalf of a private equity firm from two minority investments with its partner, a Canadian public company. The client was in the midst of a contentious dissident shareholder proxy campaign against the Canadian partner based, in part, on the company's partnership with Rob's private equity client. The negotiation was fast-paced and required consideration of issues outside the arrangement between the client and its partner in light of the activist campaign, including delicate negotiations on cross-border tax and regulatory matters, particularly as both investments involved companies located in Europe and Asia. Ultimately, it was a win-win outcome for the client and its Canadian partner, allowing the client to focus on other investment opportunities.
